Structured Finance and Securitisation

Linklaters’ global structured finance and securitisation lawyers work on complex, innovative transactions, almost invariably involving several jurisdictions

Our structured finance group has an established reputation as a world leader in the field.

Our large team of dedicated structured finance experts deliver a totally integrated practice to clients across the UK, continental Europe, central and eastern Europe, the Middle East, Asia and the Americas.

The team advises on every type of structured bond transaction, including asset-backed commercial paper, auto-ABS, CDOs/CBOs, RMBS, covered bonds, CMBS, credit card receivables, hybrid project finance, loan portfolio sales and related financings, project bonds and receivables financings.

We regularly advise on innovative and landmark structured finance transactions. For example, we have recently acted on one of the largest financial asset sale programmes ever undertaken by a European government that was financed through some of the largest ever transactions in the public securitisation market – the sale by UK Asset Resolution of approximately £20bn of UK residential mortgage loans originated by Northern Rock and Bradford & Bingley.

We are leaders in the European non-performing loan (NPL) market, having recently advised on landmark NPL securitisations in Greece, Ireland, Portugal and Spain.

We have pioneered the establishment of the first covered bond programmes in a number of jurisdictions and in several instances, worked with the issuers and regulators to develop effective covered bond legislation.

We are also one of the premier law firms in the whole business securitisation (WBS) market. We are the only law firm to advise on all the UK structured utility bonds completed to date. We have also acted on nearly all the structured corporate/ring-fenced rated financings in recent times in continental Europe.
