Investment Management 

The U.S. investment management practice is a key part of our dedicated global investment management sector team, which provides clients with responsive, market-aware, creative advice and consistent, high quality transaction execution across practice areas, investment products and jurisdictions. We routinely act for, alongside, and across the table from a broad spectrum of the top U.S. and non-U.S. alternative asset managers, banks and insurance group asset management arms, sovereign wealth funds, pension plans, funds of funds and other institutional investors. Our clients rely on our in-depth knowledge of the alternative investment space, which, together with our unique footprint, enables us to provide strategic as well as product specific advice to clients looking to move into new markets, diversify their offerings and access new investors.

 Our U.S. practice focuses on:

  • representing asset managers in structuring and raising alternative investment funds, including private equity funds, infrastructure funds, special situations funds, hedge funds, natural resources funds, funds of funds and hybrid products
  • structuring and establishing managed account and fund platforms for international banks and other international distribution channels for alternative fund strategies
  • creation of investment platforms, strategic partnerships, “funds of one,” joint ventures and other bespoke alternative investment products
  • structuring and establishing equity syndication and other co-investment vehicles and advising with respect to direct co-investments
  • representing purchasers, sellers and “key tenants” of alternative investment managers
  • representing banks, insurance groups, investment managers and management teams in connection with investment fund/asset manager spin-outs and IPOs
  • representing secondary buyers and sellers in connection with traditional and structured sales of portfolios of private fund interests
  • representing select institutional investors with respect to alternative fund investments
  • advising fund complexes on domestic and cross-border carried interest and share plan ownership programs and employee investment funds
  • representing administrators, distributors and other alternative fund service providers
  • advising asset managers on a broad range of U.S. regulatory issues, including, for example, Investment Advisers Act registration and compliance obligations, and advising on marketing investment funds domestically and globally including in light of AIFMD developments
