Linklaters achieves treble of 'firsts' under new Takeover Code

Linklaters has advised on the first offer announcement, the first offer document and the first scheme document since the UK's new Takeover Code was introduced on 19 September.

A Linklaters team, led by partner Iain Wagstaff, in London, has advised Investec plc on its recommended share exchange offer for The Evolution Group Plc. The scheme document has been posted today, 3 October, making it the first scheme document published under the new UK takeover regime, as well as also being the first securities exchange offer.

The firm has also advised Jardine Matheson Holdings on its offer for the Jardine Lloyd Thompson Group. This is the first offer document to be produced under the new rules - and the first partial offer. The Linklaters team was led by partners Keith Johnson, in Hong Kong, and James Inglis and Nick Rumsby, in London.

A separate Linklaters team, led by partners Richard Youle and Nick Rees, both in London, has advised HgCapital Funds on its agreed take-private offer for domain name management company Group NBT. The deal was announced on 23 September, making it the first offer announced and the first public to private offer under the new UK takeover regime.
