Clients benefit from Directors’ Duties Amsterdam, a unique on-line reference tool for directors and company secretaries of Dutch companies. Launched in February 2006, this product breaks new ground in The Netherlands.
Managing and supervisory directors and company secretaries will welcome this unique, user-friendly tool. It gives them all the legal and regulatory information they need to perform their role. It provides guidance on their conduct as an individual. It also gives guidance on their relationship with and obligations to the company boards as well as external stakeholders.
It is a particularly useful tool given recent legal and regulatory changes such as:
- the incorporation of the Market Abuse Directive (Richtlijn Marktmisbruik) and the Transparency Directive (Transparantierichtlijn) into Dutch law
- the introduction of the Financial Supervision Act (Wet op het financieel toezicht), including rules on public takeovers
- recent changes in accounting rules
- the introduction of the revised Dutch Corporate Governance Code
- increased scrutiny of managing and supervisory directors’ conduct
