Companies House FAQs on statements of capital

Companies House has updated its Frequently Asked Questions on the Companies Act 2006, by adding four questions on the prescribed particulars of shares that must be included in statements of capital.

In particular, the FAQs:

  • give example wording that will be acceptable to describe voting rights and prescribed particulars in a statement of capital for a company with unmodified Model Articles; and
  • confirm that statements of capital which do not provide full information or refer to another document for share rights information will be rejected by Companies House. Wording which will cause statements of capital to be rejected includes: "please see the Articles of Association for the rights", "rights as set out in the Articles", "share rights are the same as those already in issue", "not applicable" and “pari passu".
