Preparing for your 2010 AGM

We are holding a seminar on Wednesday 27 January 2010 which will help you prepare for your 2010 AGM. We will look at the changes you need to make to your AGM documents and procedures because of various Companies Act/Shareholders’ Rights Regulations provisions that took effect in 2009, as well as at recent market practice.

We are also delighted to be joined by Sarah Cameron, Company Secretary of Smiths Group plc, fresh from their AGM in November, to give a real-life perspective on what you need to be aware of.

In particular, the seminar will consider:

  • Changes that affect the AGM business, including how to amend your Articles and update the allotment and pre-emption resolutions
  • What you need to consider when calling and running your AGM, including changes to shareholder documents and information and voting procedures
  • New rights for shareholders – including the right to have questions answered and to propose matters for discussion at the AGM
