Seminar description
This seminar will cover the major developments in US federal law and regulation applicable to non-US companies over the course of the last year, including a discussion of:

  • Morrison v. National Australia Bank and other recent US Supreme Court decisions limiting the jurisdiction of the US courts over cases involving the securities of foreign private issuers
  • Dodd-Frank and its potential application to foreign private issuers, including the establishment of new obligations in relation to corporate governance, executive compensation and disclosure
  • Developments in the application and enforcement of the Foreign Corrupt Practices Act, OFAC-administered US sanctions programmes and related legislation in the US
  • The latest SEC guidance applicable to foreign private issuers and their ongoing US reporting obligations

This seminar will be useful for companies with securities listed in the United States or that are contemplating a US securities offering (with or without a US listing). It will also be useful for financial institutions serving in an advisory capacity to any such companies.
