Experience

Carlton is a private equity and M&A expert. He advises a range of private equity houses, other financial sponsors and their portfolio groups on PE deals, ranging from acquisitions to exits to all kinds of refinancings. Carlton has also advised corporates and investment banks on numerous more general UK and international takeovers, P2Ps and other M&A transactions, after having been seconded to the UK Takeover Panel for two years in the late 1990s as one of their Senior Executives. Recent significant transactions include advising:

  • Apax/Nordic Capital/Capio (a leading European private healthcare provider) on the majority of Capio’s deals throughout Europe over the last decade, including most recently the sale of Capio Spain to CVC in 2011, the sale of Capio UK and the P2P of Unilabs
  • a consortium (including GIC, CIC, ADIC, Ontario Teachers, RIT and JC Flowers) on their US$1.8bn investment in the Brazilian bank BTG Pactual in late 2010
  • BXR Group and New World Resources on NWR’s €857m hostile offer for Bogdanka in Poland in 2010 and on NWR’s €2.5bn UK redomicile by means of a takeover offer in 2011
  • PAI on various recent deails
  • Gerry Ford and his consortium on his P2P of Caffè Nero
  • TDR on its £373m acquisition of over 300 pubs from M&B in 2010 and on various other deals
  • the lenders on acquiring control of Crest Nicholson in a debt/equity swap
  • the Lehman Brothers PE (now Trilantic)/Mid Europa/Al Bateen consortium on their acquisition of T-mobile Czech and Radiokomunikace (at the time one of the largest ever CEE buy-outs) and Lehman Brothers on their subsequent exit
  • Citi and Nikko PE on various disposals including, in 2011, Cabot and Hamworthy
  • Aquarius Platinum on its takeover of Ridge Mining
  • Allianz Capital on its £960m proposed P2P of John Laing
  • MidOcean Partners (formerly DB Capital) on the majority of their European deals since their formation, including the P2P of LA Fitness, the sale of Center Parcs by accelerated IPO and the 2011 refinancing and exit of Bezier

Carlton has been rated as one of the 30 most influential lawyers in global PE and is ranked in the leading Legal Directories. He has also recently been part of the BVCA Working Group on the changes to the UK Takeover Code and is the author of a chapter in a leading textbook on UK takeovers.
