Experience
Has extensive experience of securitisation of different asset classes in different European and Asian jurisdictions. Edward is a specialist in the structured finance group practice and is co-head of the firm's Auto Sector. His
recent experience includes advising:
- a first time UK originator on an innovative auto loan deal funded by three different conduits;
- FCE Bank on its retail securitisations in continental Europe;
- Allied Irish Bank on its first RMBS;
- Tesco Personal Finance on its credit card securitisation;
- two major banks on the sales of parts of their consumer finance portfolios in 2009;
- on CMBSs, including one backed by rent payable by the BBC in relation to its new Scottish headquarters at Pacific Quay
- on opco/propco structures, including in respect of the Priory Group
- A major B-note investor in respect of a warehouse facility to fund its acquisition of B loans European whole loan commercial property financings;
- on the sale and purchases of distressed assets, including B loans;
- on restructuring of property and other defaulted loans;
- Goldman Sachs and Lehmans on a securitisation of future expected profits by an insurance company, and a number of lenders and insurers on value in force contingent loan funding;
- swap providers on structured finance deals and multi-source project funding (e.g. on the M25 expansion; Air Tanker);
- Danske Bank on its covered bond programme;
- Southern Water on its on-going funding programme under its whole business securitisation;
- Monolines on a number of credit default swaps and financial guarantees;
- Originators (UK, continental Europe, Asian and U.S.) and arrangers/investors (e.g. Citibank, HSBC, Lloyds, Merrill Lynch, RBS, Société Générale) in various asset-backed classes (especially loans and leases) in most European jurisdictions, in Russia and Asia;
- Several European banks on accessing liquidity funding from the ECB and the UK;
- the sale of businesses subject to whole business securitisations, e.g. Angel Trains, Southern Water;
- Lloyds TSB Bank plc in respect of joining the Asset Protection Scheme.
