Experience

Comprehensive banking and finance oriented experience, including investment banking law and transactions on capital markets. He is experienced in organising and conducting issues of commercial papers, debenture bonds, deposit certificates and loan syndications as well as project and structured finance. His knowledge covers also market of derivatives, swap market and legal frames for operations on open market.

Examples or work include:

  • Advising various financial institutions and entities in project and structured finance transactions, including the biggest finance transactions on the energy market (advising Elcho, EC Zielona Góra, and PBH PBK in connection with the pioneer financing of a gas power plant without long term energy sale contracts), as well as in the real estate market, including advising financial institutions on the refinancing of existing projects (e.g. refinancing Warsaw Trade Tower), financing the of the real estate development (e.g. modern shopping center in Lodz, Hines office building in Warsaw), portfolio transactions (e.g. financing the acquisition of 12 shopping centres by an American investment fund as well as financing of the acquisition of a Metro AG network in Poland)
  • Advising clients on regulatory issues regarding financial institutions’ activity in Poland, including matters pending before the Commission of Banking Supervision
  • Representing banks in connection with various insolvency and debt restructuring matters
  • Advising on restructuring law in relation to restructuring of the largest Polish motor company and possible capital investment by a car producer
  • Advising on insolvency law and liability claims against a major company from an oil and gas industry in Poland.
