Experience
Tomasz is a specialist with experience in corporate work. He is advising clients in Central & Eastern Europe (CEE) in private equity backed M&As, including public to private transactions, privatisations and dual listings in Warsaw and London. His practice focuses on downstream private equity investments in CEE, club-deals, MBOs and LBOs in the CEE region. He has led or supervised international teams on multiple cross-border transactions in healthcare, telecoms, media, CATV, consumer goods and retail sectors in Poland, Ukraine, Croatia, Lithuania and Turkey.
Recent transactions and matters of significance where his substantial involvement can be disclosed include advising:
- Mid Europa Partners on the sale of Aster, the leading national Polish cable-TV operator offering television, broadband internet, mobile and fixed-line telephony services
- Montagu on proposed private and public-to-private acquisition of a controlling stake in a leading Polish company listed on the Warsaw Stock Exchange
- Euromedic on the carve-out and restructuring of its CEE radiotherapy business operations
- Apollo on a proposed acquisition of the leading Ukrainian national cable-TV operator
- Mid Europa Partners in connection with three separate LBO’s of leading Polish national healthcare providers including Centrum Medyczne LIM, Lux-Med and Medycyna Rodzinna, each offering comprehensive outpatient medical care and diagnostic services
- CVCI on a proposed leveraged acquisition of Tekel, the leading Turkish tobacco manufacturer, as part of the government privatisation programme
- Carlyle on a proposed acquisition of a leading CEE drinks and frozen foods company based in Poland with significant operations in Russia
- Bridgepoint Capital on the Polish aspects of the leveraged acquisition of the international operations of the Gambro Health Care Group
- Kronospan Group in connection with a proposed sale by way of international auction to pan-European PE sponsors of its leading Polish manufacturing company in the paper and forestry products sector
- Eastbridge NV, a leading European retail company, in a series of acquisitions of leading Polish and Ukrainian retail fashion and media businesses
