Overview

Alex’s practice focuses on international financial transactions. He has experience with cross-border financings, including corporate, acquisition, receivables, asset and fund finance; cross-border mergers, acquisitions and asset sales; debt and equity capital markets and reporting; structured finance and commodities; and project finance for renewable energy and infrastructure.

Work highlights

Alex has advised clients on a wide range of significant and complex international transactions. These include advising: 

  • Takeda Pharmaceutical Company: advising in relation to its £46bn recommended offer for Shire plc, the largest ever outbound M&A deal by a Japanese company.
  • ION Investment Group: advising on the multi-product financing of its acquisition of Acuris (Mergermarket) from BC Partners.
  • Bioceres: advising on the sale of substantially all of its assets to Union Acquisition Corp., a NYSE-listed special purpose company, in exchange for control of the listed corporation, among other consideration (SPAC transaction).
  • Marfrig Global Foods: advising on the $2.4bn sale of Keystone Foods to Tyson and the related Ohio Beef carve-out transaction.
  • Alupar Investimento and La Virgen: advising on the US$81m refinancing of bridge loans to fund the construction, maintenance and operation of an 84 MW two-staged hydroelectric power plant and 63 km transmission line in Peru.
  • Global corporations and financial institutions: advising on a variety of Reg S and 144A transactions, liability management operations, initial public offerings and shelf registrations.
  • Leading financial institutions: advising on structured finance programs and alternative investments, including commodities-linked debt issuances, receivables financings, repacks and diversified payment rights programs.
  • Sponsors and lenders: advising on a renewable energy project and asset financing transactions in Brazil, Colombia, Mexico, Peru, Chile and Argentina.

Alex’s pro bono practice focuses on non-profit incorporations and immigration, asylum and naturalization cases, as well as work with the Billion Oyster Project.

Professional experience

Alex was the Editor in Chief of the Columbia Journal of European Law in its 22nd Volume.

Education and qualifications

Alex received a bachelor’s degree from Vanderbilt University. He holds a master’s degree in international economics from the Johns Hopkins School of Advanced International Studies, and holds a Juris Doctorate from Columbia Law School.

Alex speaks English, Spanish, Portuguese, Italian and French.

Alex has been a member of the New York Bar since 2017.
