Overview

Nemone advises on complex, high-value commercial contracts for the exploitation of intellectual property rights, on technology transfers, on investments in, and acquisitions of, IP-rich technologies, and on the treatment of intellectual property rights in the context of corporate and finance transactions, in particular cross-border M&A with challenging IP and IT separation issues across a broad range of industries and sectors. She advises clients on strategies for protecting and enforcing intellectual property rights and on issues of confidentiality.

 

She has advised many financial institutions and insurance sector clients on joint ventures, IP separation issues arising from acquisitions and disposals, trade mark enforcement and licensing, and bancassurance and distribution matters.

Nemone’s experience includes advising on the IP aspects of:

 

  • Schneider Electric’s reverse takeover of AVEVA Group
  • Hutchison Whampoa’s £10.5bn potential acquisition of the O2 mobile telecommunications business in the UK and its £300m acquisition of UK Broadband
  • Siemens’ £950m cross-border acquisition of Rolls-Royce’s industrial gas turbine and compressor business, and its £1.7bn acquisition of Invensys’s international rail automation business
  • Amec Foster Wheeler’s disposal of its circulating fluidised bed boiler business to Sumitomo Heavy Industries
  • an international car rental business’s divestment of its car rental business in Brazil, including a long-term trade mark licensing agreement for co-branding, and its investment in, and strategic cooperation with, a major Chinese car rental company, including a brand cooperation agreement
  • over 30 separate disposals in 11 jurisdictions for different financial institutions of retail banks and consumer banking assets, including loan and consumer card portfolios

Professional experience

Nemone is a member of the International Trademark Association (INTA) and the Competition Law Association (CLA). She speaks at INTA conferences on the treatment of intellectual property rights in transactions.

Education and Qualifications

Nemone studied law at Queens’ College, University of Cambridge.
