Overview

Tom is the Global Head of our U.S. practice and corporate partner based in London and New York who acts as a lead U.S. adviser on some of the market’s most high-profile and complex M&A and equity capital markets transactions in the United States, Europe and South Africa.

Tom is one of the architects (and currently co-head) of the firm’s Risk and Resilience team, a global, multi-disciplinary team that helps our clients to effectively address the increasing risk, regulatory and governance challenges they face in their businesses.

Tom provides U.S. corporate law and SEC-reporting advice to some of the firm’s largest clients. He has also worked alongside clients to help them implement their corporate sustainability strategies.  

Work highlights

Tom has advised on transactions with a combined value of more than US$500bn. These deals include some of the market’s most complex and pioneering, among them:

  • Sibanye Gold on its $2.2bn acquisition of Stillwater Mining and its $1 bn SEC-registered rights offer
  • Amec in connection with its US$3.3bn offer for Foster Wheeler
  • Woolworths in connection with its R21bn acquisition of David Jones and R2.1bn rights offer
  • Rio Tinto on its US$142bn unsolicited offer by BHP Billiton and on its US$37.6bn cash tender offer for Alcan
  • Gold Fields and Sibanye Gold on the spin-off and listing of Sibanye. This was the first South African listing on the NYSE in a decade
  • RBS on its £20bn placing and open offering, on its £12bn rights issue, and on the UK government recapitalisation

In addition, Tom has led a number of internal investigations and governance reviews for clients around the world.

Professional experience

Tom is recognised to be a progressive lawyer who has been described by Financial News magazine as one of the “City’s finest legal minds”. He is a strong advocate of the inherent link between a business’s commercial viability and its sustainability in economic, social, environmental and ethical terms. He has worked with the United Nations Global Compact to advance corporate sustainability, particularly looking at the roles that lawyers can play. He has been the lead adviser to the Global Compact on an initiative that examined the role that general counsel have within global corporations to secure long-term commercial success by a focus on corporate sustainability.

From 2012-2015, Tom led the firm’s corporate responsibility (CR) committee, where he led the transformation of the firm’s CR strategy focusing on our “Collective Responsibility”, which was commended by the Financial Times. Tom also co-chairs the firm’s Black, Asian and Minority Ethnic (BAME) Network.

Tom has been acknowledged in the Power List each year since 2013 as being one of the most influential black people in Britain. In 2013, Tom was recognised by the Diversity League Table as “Diversity Champion of the Year”. In 2014, he won the inaugural British Black Business Award for Professional Services and in 2016 was nominated as “Outstanding Role Model of the Year” at the European Diversity Awards. Tom has been recognised as one of the leading minority ethnic executives in the US and UK by EMpower and the The Financial Times.

Outside of work Tom has been a steering group member and co-author of The Partner Review: A Report into the Ethnic Diversity of UK Boards and he was a member of Islington Council’s Employment Commission, a task force whose objective was to increase the employability and employment rates of Islington residents. Tom is also a trustee of Prostate Cancer UK.

Education and qualifications

Tom holds a Juris Doctor and Masters of Business Administration (Finance and International Business) from New York University. Tom obtained his undergraduate degrees in International Relations and Political Science from the University of Southern California. 

Tom is a member of the New York Bar, United States.
