Linklaters advises Recruit on its $1.55bn all shares tender offer for USG People
Linklaters advises Recruit Holdings on its $1.55bn all shares tender offer for USG People, the listed Dutch HR services company.
Recruit is a Japanese-listed services company that is active in several industry sectors including Human Resources and Information Services. The deal will create a leading specialised provider of staffing and innovative HR services with a presence in Japan, continental Europe, the United Kingdom, the United States of America and Australia. The transaction provides Recruit with an established entry platform into the continental European staffing market from which it can further realise its ambitions of becoming the world leader in human resources by around 2020.
The deal is expected to complete in the second half of 2016.
The Linklaters team, which involved teams of lawyers from the firm’s Dutch, Belgian, French and German offices, was led by corporate partner Jan Willem de Boer, in Amsterdam, assisted by Jordi Wals (Associate, Corporate), Jaap Geleijns (Associate, Corporate), Koen Geerts (Associate, Corporate), David Bass (Associate, Corporate), Vincent Gerlach (Managing Associate, Employment) and Maikel van Wissen (Managing Associate, Competition).
