US Securities Law Briefing: SEC Proposes Easing Disclosure Requirements with Respect to Business Acquisitions or Dispositions

In line with recent efforts to make the US public markets more attractive, the US Securities and Exchange Commission recently proposed amendments that, if adopted, would ease the burden on public companies with respect to financial statement disclosure of recent acquisition and disposition activity. If adopted, we would expect these amendments to have knock-on effects for Rule 144A offerings.
