Overview

Alejandro has completed over 70 cross-border financings, restructurings and other complex corporate transactions in 10 industries for an aggregate consideration of over US$40 billion.

Alejandro advises corporations, governments and investment banks on corporate finance transactions, including SEC-registered and exempt debt and equity offerings, credit facilities, restructurings, liability management and structured finance transactions.  He also provides SEC-disclosure and corporate governance advice, and has knowledge of the banking, transportation, biotech, retail and energy sectors.

Earlier in his career, Alejandro served as in-house counsel with Credit Suisse in New York and Zurich, and Sarepta Therapeutics in Cambridge.  Alejandro started his career at Marval, O’Farrell & Mairal in Buenos Aires and worked at Shearman & Sterling in New York and London.

  • The initial purchasers in a $300 million high yield note offering by an Argentine energy company in a Rule 144A/Regulation S transaction
  • A Peruvian retail company in the issuance of its $400 million and S/385.8 million high yield notes in a Rule 144A/Regulation S transaction
  • A Peruvian financial institution in the issuance of its $300 million high yield notes in a Rule 144A/Regulation S transaction

Sovereign and Quasi-Sovereign Debt Offerings:

  • The initial purchasers in the ARS30 billion note offering by a province of the Republic of Argentina in a Rule 144A/Regulation S transaction
  • The underwriters in the $9 billion SEC-registered bond offering by a Latin American government 
  • A Province of the Republic of Argentina in the issuance of its $400 million notes in a Rule 144A/Regulation S transaction

Equity Offerings:

  • A Brazilian airline in connection with its SEC-registered initial public offering of American depositary shares with a listing on the New York Stock Exchange
  • A Mexican airline in connection with its SEC-registered initial public offering of American depositary shares with a listing on the New York Stock Exchange
  • A Chilean energy company in connection with the Rule 144A/Regulation S secondary offering of 424 million common shares of its common stock

Liability Management Transactions:

  • The dealer managers in connection with a Latin American government’s SEC-registered exchange offer and bond offering, and Rule 144A/Regulation S cash tender offer
  • The dealer managers in connection with an Argentine financial institution’s tender offer for defaulted bonds and issuance of $250 million bond offering in a Rule 144A/Regulation S transaction
  • An Argentine dairy company’s exchange offer of $218 million aggregate principal amount of its existing debt comprised of notes and loans

Investment Grade Debt Offerings:
