Overview

Allison has experience representing clients on a variety of international corporate and capital markets transactions, including complex cross-border M&A deals, equity and debt offerings, and project financings. She focuses her practice on executive compensation and employee benefits, including advising global companies on management issues, such as hiring, termination, severance, and anti-discrimination policies. 

Allison also has experience advising clients on issues relating to private investment funds, including plan assets regulations and ERISA.

Her recent experience includes advising:

  • Multinational companies such as August Home, Inc., BHP Billiton Limited, Deutsche Börse AG, FMS Wertmanagement Service GmbH and Korres USA Ltd. on day-to-day HR issues and employment matters, including SEC filings, executive hiring, employment agreements and bonus structuring
  • ION Investment Group on the funding for its acquisition of Openlink Financial
  • Marfrig on the US$969m acquisition of 51% of the membership interests in National Beef Packing Company from Leucadia
  • Petrobras Americas Inc. and its Brazilian parent Petróleo Brasileiro S.A. - Petrobras in connection with the US$562 million sale of all the outstanding shares and equity interests of Pasadena Refining System, Inc. to Chevron U.S.A. Inc.
  • ASSA ABLOY in its acquisition of KEYper Systems and of Luxer Holdings Corporation
  • Andean Tower Partners in the acquisition (including acquisition financing) of Torres Unidas from Berkshire Partner

Education and qualifications

Allison studied political science at the College of William and Mary and holds a Juris Doctor from The George Washington University Law School, where she was an associate of the George Washington Law Review.

Allison speaks English, Spanish and French.
