Overview

Carsten is a counsel specialising in equity and debt capital markets transactions (including initial public offerings, rights issues, spin-offs and offerings of corporate and high-yield debt securities) as well as cross border mergers and acquisitions and other corporate reorganisation transactions across a number of sectors. Carsten’s experience also includes advising clients on syndicated lending, acquisition finance and financial restructuring transactions. He is based in the Frankfurt office.

Work Highlights

Carsten's experience in equity and debt capital markets transactions include:

  • Entire capital markets financing by Bayer of its acquisition of Monsanto
  • The rights issue of Hapag-Lloyd and the listing of new shares on the Frankfurt Stock Exchange (underwriters)
  • The rights issue by Swiss pharma group Lonza to finance the acquisition of U.S. company Capsugel
  • The spin-off and Frankfurt listing of the Metro Wholesale and Food Specialist business
  • A €250m high yield bond offering from Almaviva, an Italian information technology provider
  • The €450m high yield bond offering of Hapag-Lloyd (underwriters)

His experience in syndicated lending, acquisition finance and financial restructurings include:

  • JP Morgan Limited and Barclays Bank PLC in connection with the financing of the acquisition by Evonik Industries AG of the Speciality & Coating Additives business of Air Products & Chemicals Inc.
  • Banks in connection with the acquisition of Nokia Here by bidders Audi, BMW and Daimler
  • Banks on the € 4.4bn takeover of Italcementi by Heidelberg Cement
  • APCOA Group, Europe's largest carpark-service provider, on the financial restructuring of € 730m senior facilities and a € 30m super senior facility
  • A group of senior-only lenders including Credit Agricole, Carlyle, GE, Pramerica, Credit Suisse, Alpstar and Invesco on the corporate and financial restructuring of the PrimaCom group implemented through an English law scheme of arrangement

Professional experience

Carsten was seconded to Credit Suisse in 2017 and is a member of the American Chamber of Commerce in Germany.

Education and Qualifications

Carsten studied law at the University of Heidelberg and holds an LL.M. degree from Vanderbilt University.
