Overview

Craig has significant experience in advising multinational corporates and financial sponsors across a range of corporate transactions, including mergers and acquisitions, joint ventures, securities transactions and strategic investments. He also advises a number of listed boards on corporate governance matters and incentives arrangements.

In addition, Craig works closely with the firm’s Australian alliance partner, Allens, to advise Australian clients on their cross-border corporate transactions in Asia and globally.

Craig has particular knowledge of the mining sector, having worked at BHP Billiton in its Corporate team. Before training as a lawyer, Craig also worked as an accountant and business adviser for Deloitte Touche Tohmatsu in Australia.

Work highlights

Craig has led, or been a key adviser, on many major M&A and securities transactions. Highlights include advising:

  • on the merger between Hutchison Whampoa and Cheung Kong combining assets worth more than US$100bn (and on the spin-off listing of their combined property business, Cheung Kong Property Holdings)
  • on the US$20.5bn listing of AIA Group on the Hong Kong Stock Exchange
  • China Minmetals’ listed Hong Kong subsidiary, MMG, on a range of transactions, including its takeover bids for Anvil Mining and Equinox Minerals, and on its advancement to production of the Las Bambas mining asset (acquired from Glencore for US$5.9bn)
  • Hutchison Whampoa on its £10bn offer to acquire O2 and on its US$6bn sale of 25% of its international retail arm, AS Watson, to Temasek
  • ANZ Bank on a range of transactions, including its strategic stake in Tianjin City Commercial Bank
  • Glencore on its US$60bn dual UK/Hong Kong listing
  • HSBC and Standard Chartered on several rights issues and various M&A transactions

 

Professional experience

Craig advised on the creation of a block trade agreement precedent for use by Hong Kong industry as part of an initiative by the Asia Securities Industry and Financial Markets Association (ASIFMA), including drafting bespoke language to deal with short-selling issues in Hong Kong.

Since 2012, Craig has been ranked as a Leading Lawyer across various sectors, including “Capital Markets – Equity”, “Mergers & Acquisitions” and “Energy & Resources”.

Education and qualifications

Craig holds a Bachelor of Laws (Honours) degree and a Bachelor of Commerce degree from the University of Melbourne, Australia.
