Overview

David has extensive experience representing and advising European corporate and investment banking clients in connection with public and private multijurisdictional debt and equity offerings pursuant to Rule 144A, Regulation S and other exemptions from the registration requirements of the United States Securities Act of 1933.

Work highlights 

David has advised clients on a wide range of debt (high yield, Yankee bonds, MTNs and commercial paper) and equity (IPOs, rights offerings, block trades) transactions. These include advising on:

  •  Secured and unsecured high yield bond offerings for CGG, Cognita, Q-Park and Rubis Terminal;
  • Initial public offerings for Nexi, Pirelli, DoBank and Unieuro on the Borsa Italiana and Neoen and SMCP on Euronext Paris;
  • Yankee bond offerings for Air Liquide, Société Générale, BFCM and Atos; and
  • Various securities issuances (including secured high yield bonds and rights issuances) by CGG in the context of its multijurisdictional debt restructuring (safeguard proceeding in France and chapter 11 and chapter 15 proceedings in the US).
