Overview

Dominic has more than twenty years’ experience of advising on all aspects of corporate taxation, with a particular focus on mergers and acquisitions, company reorganisations, complex financings and contentious and advisory tax work. 

Work highlights

These include advising:

  • Old Mutual on its 2018 managed separation, a complex combination of demergers and IPOs to split the group into four separate groups and redomicile its emerging markets business to South Africa
  • Euroclear on its recent reorganisation and redomicile to Belgium
  • SAB Miller on its takeover by AB Inbev
  • Home Retail Group on its takeover by J Sainsbury
  • Anglian Water, Thames Water and a further water company (not yet announced) on the reorganisations of their securitisation group structures to replace Cayman Islands incorporated companies with UK companies
  • A number of international banks on their ongoing Brexit-related reorganisations
  • Children’s Investment Fund Foundation on tax aspects of the litigation relating to its proposed funding of another charity and resignation of its trustee
  • A major supermarket on VAT litigation encompassing EU law
  • A FTSE 100 company on the EC’s state aid investigation into aspects of the UK’s controlled foreign company rules
