Experience

Gabriel focuses his practice on M&A, banking and capital markets transactions. He has broad experience advising a global client base of leading corporations on complex, cross-border M&A transactions, private equity and joint ventures. He also has experience in banking and trade finance transactions, as well as local and international offerings of equity and debt securities, acting both for financial institutions and corporate issuers. Gabriel is qualified as an attorney under New York and Brazilian laws. He received a LL.M. degree from Columbia Law School, where he was a Harlan Fiske Stone Scholar, and a post-graduate degree in Brazilian corporate law from Fundação Getúlio Vargas. He is fluent in English, Portuguese and Spanish.

His recent experience includes advising:

  • the shareholders of Parati on the R$1.3bn sale of their shares to Kellogg
  • Pampa Energia S.A. in the acquisition from Petrobras of its controlling stake in Petrobras Argentina S.A. for US$892m
  • Falabella Group on the US$492m acquisition of Maestro in Peru
  • Amil and its controlling shareholders on the US$4.9bn sale of a majority stake in the largest Brazilian healthcare provider to United Healthcare Group
  • Abengoa Yield plc on its US$327.9m secondary offering of ordinary shares registered with the SEC and on its US$255m corporate bond
  • Marfrig Group on its R$924m follow-on offering of common shares, on several bond issues totalling approximately US$2.5bn and on several cash tender offers for the acquisition of different series of outstanding bonds totaling approximately US$1.5bn
  • BTG Pactual, Credit Suisse, Morgan Stanley, HSBC and Banco Espírito Santo on the R$495m follow-on offering of common shares of Minerva
  • Seara Alimentos, Seara International Limited and Marfrig Alimentos on their US$120m senior secured export prepayment facility
