Iris is a highly regarded corporate lawyer, advising investment banks and corporations on initial public offerings (IPOs), public M&As, and other fund-raising exercises, such as block trades, rights issues and open offers.

Iris also advises a number of listed companies on Hong Kong Listing Rules and other compliance matters.

Fundraisings:

  • Cathay Pacific on its HK$39bn recapitalisation in response to the outbreak of global Covid-19 pandemic and which represented an unprecedented and significant investment by the HKSAR government into the airline

IPOs:

  • the joint sponsors and underwriters on the Hong Kong IPO and listing of China Feihe, a Chinese milk formula company
  • the joint sponsors and underwriters on the Hong Kong IPO and listing of Orient Securities Limited (DFZQ)
  • the joint sponsors and underwriters on the Hong Kong IPO and listing of AIA Group Limited

Public M&A:

  • China International Capital Corporation on the US$26bn merger of CSR Corporation and China CNR Corporation, the first securities exchange offer where both companies were listed in the PRC and Hong Kong
  • China International Capital Corporation Hong Kong Securities, the financial adviser to the offeror on the mandatory general offer for Maanshan Iron & Steel Company
  • China Merchants Port Holdings Company on the mandatory general offer for Dalian Port (PDA) Company, triggered by the equity transfer in relation to the Liaoning Port Group
