Overview

James primarily represents creditors, debtors, shareholders, officeholders and other stakeholders in major corporate debt restructurings, distressed acquisitions and formal insolvencies in the UK, Europe, Asia and Africa, advising on both transactional and dispute resolution matters.

In addition, James has considerable experience representing clients in dispute resolution matters arising out of corporate joint ventures, debt financings and derivatives.

Work highlights

James has led on many significant restructurings. These include advising:

  • the ad hoc committee of unsecured noteholders of Towergate Insurance in connection with its financial restructuring via “toggle” schemes of arrangement for secured and unsecured noteholder classes
  • a member of the senior creditor group of litigants in the complex “waterfall” court proceedings in the Lehman UK estate (Waterfall I and  Parts A, B and C of Waterfall II)
  • the largest lender and a liquidity provider to the Germany-based BARTEC Group in relation to the rescheduling of the group’s debts and a related capital injection
  • the ad hoc committee of bondholders of Mongolian Mining Corporation on its financial restructuring via parallel schemes of arrangement in Cayman and Hong Kong and Chapter 15 recognition
  • the junior creditors of South Africa-based Peermont Group on its financial restructuring via a debt for equity swap and senior debt refinancing
  • the Barchester Healthcare group on its financial restructuring via propco and opco refinancings 
  • the ad hoc committee of mezzanine lenders to KCA Deutag on its financial restructuring via a debt for equity swap and senior debt refinancing

Education and qualifications

James studied law at the Victoria University of Wellington, New Zealand.
