U.S. Securities Law Briefing: SEC Issues Guidance on Public Company Cybersecurity Disclosures

On February 21, 2018, the U.S. Securities and Exchange Commission (the “SEC” or the “Commission”) issued an interpretive release (the “Release”) to assist public companies in preparing disclosures about cybersecurity risks and incidents. While it does not significantly expand on the guidance issued by the SEC’s Division of Corporation Finance in 2011, the Release – which was issued by the SEC Commissioners after a formal vote – is a valuable reminder to companies that cybersecurity disclosure is a high priority for the SEC right now.
