Recent experience includes:

  • private mergers and acquisitions, including advising Glencore on the merger of its aluminium assets with RUSAL and SUAL to create the world’s No. 1 producer of primary aluminium - estimated value around US$30 billion; BP’s acquisition of a strategic investment in TNK-BP and Slavneft;
  • joint ventures and group restructuring, including the restructuring of the Russian electricity sector for RAO UES of Russia; advising Tatneft on the creation of a downstream joint venture with Sibir Energy Plc and the Moscow City government;
  • advising BP on various shareholder issues arising in the context of their joint ventures in Russia, including advice on the management structure, control over the group companies, delegation of authority, licensing matters, corporate restructuring of the TNK-BP group, safekeeping of group companies’ shares and other matter;
  • finance, including advising the EBRD on a secured loan for phase 1 of the Trans-Balcan Gas Pipeline Project; advising the EBRD on the RAO UES project bond financing;
  • general corporate, including advising BP on various issues of RUSIA Petroleum activity and Goldman Sachs on its operations in Russia.
