Linklaters advises Groupe Bruxelles Lambert on Webhelp acquisition – company valued at €2.4bn

Acquisition is the largest LBO in France this year

Linklaters is advising Groupe Bruxelles Lambert, the Belgium-based investment holding company, on its acquisition of a majority stake in Webhelp, one of the world's leading providers of customer experience and business process outsourcing. The deal values the company, headquartered in Paris, at €2.4bn (enterprise value) making the acquisition both the largest LBO transaction in France this year and the first for Groupe Bruxelles Lambert. The deal also marks the latest in a series of high profile private equity mandates the Linklaters’ Paris team has led on over recent months, including:

  • PAI Partners on the €1.54bn acquisition of Areas, a global leader in the travel and catering market with operations across 13 countries, from Elior Group. This deal is one of the largest primary LBOs in the form of a carve-out, announced in the French market so far this year
  • CVC Capital Partners on its public offer for the entire share capital of April SA, an insurance company listed in Paris, for a total acquisition price of €890m. This is the first public offer announced since the decrease inthe mandatory squeeze-out threshold of the share capital and voting rights from 95% to 90%
  • Mirova (an affiliate of Natixis Investment Managers, now called Vauban Infrastructure Partners) on the acquisition alongside MEAG of a 50% stake in Indigo Group, the world leading car parking and individual mobility group from ARDIAN Infrastructure
  • Apax Partners on the €800m sale of INSEEC U., a group of management and business schools with operations in France, Europe, the USA and China, to Cinven
  • CVC Capital Partners on the sale of its 49.9% stake in Delachaux Group to CDPQ on the basis of an enterprise value of €1.5bn The financial sponsors team at Linklaters regularly advises on the largest and most complex deals in the market.
