Linklaters advises Vodafone on $2.25bn notes issuance and concurrent liability management

Linklaters has advised international telecoms giant, Vodafone Group Plc, on its issuance of $2.25bn SEC-registered bonds, as well as concurrent tender offers and a redemption for certain of its outstanding debt. Vodafone has applied to list the bonds on the New York Stock Exchange.

Vodafone intends to use the net proceeds from the offering of the bonds to finance upcoming maturities, including the repurchase of any and all of the bonds subject to the concurrent tender offers, and for general corporate purposes.
 
The multi-jurisdiction transaction was acted on by the firm’s New York and London offices and the team was led by corporate partner Mike Bienenfeld and capital markets partner Jeffrey Cohen. The team included U.S. associates Marie Kwon and Rachel Silberstein, as well as a UK associate Rory Renshaw.
 
This transaction is one of many deals Linklaters has done for Vodafone in the last 12 months, including the issuance of European and U.S. hybrid securities, mandatory convertible bonds and green bonds, as well as tender offers for Vodafone’s Euro-denominated notes.
