Where a contemplated transaction meets the applicable thresholds, most merger control regimes require a mandatory and suspensory notification: until the parties receive the relevant authority’s green light, they must continue to behave as fully independent competitors, and cannot (partially) implement a transaction - typically on a worldwide basis, and not just within the relevant jurisdiction.
