Overview

Thomas advises major corporates and financial investors on mergers and acquisitions, public takeovers, joint ventures, equity offerings and corporate restructurings, as well as providing general corporate law advice to both publicly-listed and private companies.

Thomas has worked at Linklaters since March 2016 and was seconded to the Linklaters Amsterdam office for six months.

Work highlights:
  • Nestlé: advising on the carve-out of a food business into a 50/50 joint venture;
  • Glencore: advising on the acquisitions of two 33.3% interests in the Cerrejón coal mine in Colombia from its joint venture partners, Anglo American and BHP, for an aggregate consideration of US$588m;
  • KPMG International Services Limited: advising on the exit of KPMG Russia and Belarus firms from the KPMG network;
  • Ant Group: advising on the investment in Global Blue Group, a Swiss-based tourism shopping tax refund business;
  • Vistry Group PLC: advising on the £1.25bn recommended cash and share combination with Countryside Partnerships PLC, effected by means of a scheme of arrangement and governed by the UK Takeover Code;
  • Charter Court Financial Services Group plc: advising on the £1.5bn recommended all-share combination with fellow challenger bank (and fellow specialist lender), OneSavings Bank, effected by means of a scheme of arrangement and governed by the UK Takeover Code;
  • Prax Group: advising on the acquisition of the Lindsey Oil Refinery and related logistic assets from Total;
  • Brambles: advising on the US$2.5bn sale of its IFCO reusable plastic containers business to Triton and ADIA

Professional experience

Thomas has worked closely with Lawyers Without Borders, a not-for-profit organisation with a mission to advance global rule of law, build capacity and integrity in the world’s justice sectors and support development.

Education and qualifications

Thomas studied Economics (BA) and International Studies (MA) at St Chad’s College, Durham University.
