Overview

Alice is a managing associate advising in mergers and acquisitions. She has a wide-ranging experience in corporate law, public and private M&A and private equity. She regularly advises corporates, fund and investment banks, notably in relation to renewable energy transactions.

She has also been on secondment for 6 months within the legal department of ARDIAN

Work highlights

Recent transactions of significance where substantial involvement can be disclosed have included, advising:

  • TH Real Estate (an affiliate of Nuveen, the investment management arm of TIAA) on the French corporate law aspects of the acquisition from Emerige of the "Morland Mixité Capitale" real estate complex to be completed in Paris
  • SIX Group AG on the French corporate law aspects of the signing of a strategic partnership with Worldline (listed on Euronext Paris), through the contribution by SIX of its payment services division to Worldline
  • HSBC Private Bank on the referral agreement with a view to introducing HSBC's client base in the Principality of Monaco to CFM Indosuez Wealth Management (Crédit Agricole group)
  • Mirova/Eurofideme (Natixis) on its co-investments in Swedish onshore wind projects: with Eolus (19.8 MW), RES (27.6 MW), Holmen AB (51 MW) and Platina/Arise WindPower AB (200 MW)
  • E.ON SE and E.ON France on the French law aspects of the worldwide intra-group restructuring as key preliminary step of E.ON SE’s subsequent spin-off of its generation, exploration & production and energy trading business (renamed Uniper)
  • Galaxy Entertainment (listed gaming operator) on its acquisition of a minority stake in Société des Bains de Mer et du Cercle des Étrangers à Monaco (listed on Euronext Paris) from the Principality of Monaco
  • Neoen on the structuring of Europe's largest solar project in Cestas, near Bordeaux (portfolio of 25 plants with a total capacity of 300 MW)
  • Morgan Stanley in relation to the tender offer by Klépierre for Klémur’s shares followed by a squeeze-out
  • ARDIAN and Neoen on their acquisition of Poweo’s renewable energy activities from Verbund

Professional experience

Alice joined the firm in 2006.

She has been on secondment for 6 months within the legal department of ARDIAN.

Education and qualifications

Alice studied corporate law at Lyon 3 University with a 6 months exchange program at the Universidad de Belgrano in Buenos Aires, Argentina before specializing in Finance at Lyon Business school.

She completed her diploma with a Master degree in Corporate and Tax Law at Paris 1 University.

Alice is a member of the Paris Bar since 2006.
