Brett Bush practices corporate, securities and transactional law, advising clients in a variety of corporate transactions, including private equity fund formations, acquisitions, dispositions, equity financings, growth investments, venture capital transactions and the establishment of bespoke separately managed accounts and platforms. He also has broad experience handling general corporate matters, including commercial arrangements, regulatory compliance, structuring and compensation advice.

Brett advises private investment funds, including buyout funds, international funds, infrastructure funds, real estate funds, special situations funds, venture capital funds, hedge funds, fund-of-funds and other types of alternative asset investment vehicles with respect to formation, marketing, operation, ongoing compliance and investment and management activities. Brett is actively involved in all stages of fund formation and fund sponsor representation, counseling on terms and marketing strategy, preparing offering documents, negotiating with placement agents, drafting partnership and general partner documents, negotiating with investors and providing advice on internal general partner, management company and corporate governance issues.

In addition, Brett also concentrates on representing and advising clients in domestic and international private investments and transactions on an individual and commingled basis, including partnerships and limited liability companies, investment management agreements, lending agreements, custodial agreements and open-and-close-ended commingled fund investments (including private equity, venture capital and credit) as well as secondary transactions, co-investments, direct company investments and other private and public securities matters. He advises clients on economics, alignment of interests, governance and current market terms and covenants.

Brett also advises asset managers generally with respect to the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and the Investment Advisers Act of 1940.

Brett has extensive experience on a wide array of corporate matters and transactions, covering industries such as private equity, banking and finance, real estate, media, infrastructure, entertainment, technology, sports and hospitality. His most recent experience includes the representation of:

  • KKR in the formation of KKR Americas Fund XII
  • Barings (formerly Cornerstone) on the establishment of the Barings European Core Property Fund
  • KKR in leveraged buyouts and sales of its public and private portfolio companies
  • KKR and KKR Credit in the formation of various co-investment vehicles and bespoke separately managed accounts and platforms
  • Alcentra, on the establishment of the Alcentra Special Situations Fund
  • Investors in connection with their investments in private equity, venture capital and credit funds and participation in co-investments and other related transactions
  • KKR in the formation of KKR European Fund IV
  • KKR in the formation of KKR Global Infrastructure Investors II

Prior to joining Linklaters, Brett was a corporate associate at Weil, Gotshal & Manges LLP and Proskauer Rose LLP in New York, where his work included representing Lehman Brothers in the sale of many of its asset management businesses in connection with its restructuring and a top-tier international financial services group in a joint venture with the Beijing city government to form an RMB fund under the Qualified Foreign Limited Partner (QFLP) pilot program in the People’s Republic of China (one of the first of this type under this pilot program). 

Brett’s work at Linklaters and prior has included representing KKR, Alcentra, Ardian, KKR Credit, Barings, CPS Managers Fund, Standard Chartered Bank, SoftBank, J.P. Morgan, Brookfield Asset Management, DLJ Real Estate Capital Partners, American Securities, Cohen & Steers, Stone Tower Capital, China Investment Corporation, U.S. Realty Advisors LLC, Ontario Municipal Employees Retirement System, Thomas H. Lee Partners, New Century Holdings, Corinthian Capital Group, Citigroup, Suburban Propane Partners and Perella Weinberg Partners among others. He received Weil's Pro Bono Service Award multiple times for providing counsel to Haitian immigrants, Lincoln Center and the New York City Department of Parks and Recreation. Brett is also an active alumnus of the Horace Mann School.
