Specialised experience in international equity and capital markets transactions across a number of sectors. Experience includes advising on initial public offerings, rights issues, spin-offs, and offerings of corporate and high-yield debt securities. Also, specialised experience in syndicated lending, acquisition finance and financial restructuring.

Experience in equity and debt capital markets transactions include:

  • Entire capital markets financing by Bayer of its acquisition of Monsanto
  • The underwriters on the rights issue of Hapag-Lloyd and the listing of new shares on the Frankfurt Stock Exchange
  • The rights issue by Swiss pharma group Lonza to finance the acquisition of U.S. company Capsugel
  • The spin-off and Frankfurt listing of the Metro Wholesale and Food Specialist business
  • Almaviva, an Italian information technology provider, on a € 250m high yield bond offering
  • The underwriters on the € 450m high yield bond offering of Hapag-Lloyd

Experience in syndicated lending, acquisition finance and financial restructurings include:

  • JP Morgan Limited and Barclays Bank PLC in connection with the financing of the acquisition by Evonik Industries AG's of the Speciality & Coating Additives business of Air Products & Chemicals Inc.
  • Commerzbank Aktiengesellschaft as mandated lead arranger in relation to a € 70m syndicated credit facility for QSC AG and certain of its subsidiaries
  • Banks in connection with the acquisition of Nokia Here by bidders Audi, BMW and Daimler
  • Banks on the € 4.4bn takeover of Italcementi by Heidelberg Cement
  • APCOA Group, Europe's largest carpark-service provider, on the financial restructuring of € 730m senior facilities and a € 30m super senior facility
  • A group of senior only lenders including Credit Agricole, Carlyle, GE, Pramerica, Credit Suisse, Alpstar and Invesco on the corporate and financial restructuring of the PrimaCom group implemented through an English law scheme of arrangement
  • The Financing Banks on the € 544m financing of the Trianel Borkum West II offshore wind farm, the largest wind project in the German North Sea and the first ever financing of an offshore wind farm in Germany
  • Commerzbank AG and Landesbank Baden-Württemberg on the € 250m revolving credit facility for Schott AG
