Overview

David has extensive experience representing and advising European corporate and investment banking clients in connection with public and private multijurisdictional equity and debt offerings pursuant to Rule 144A, Regulation S and other exemptions from the registration requirements of the United States Securities Act of 1933.

Work highlights 

David has advised clients on a wide range of equity (IPOs, rights offerings, block trades) and debt (high yield, Yankee bonds, MTNs and commercial paper) transactions. These include advising on:

  • Initial public offerings of Nexi, Pirelli, DoBank and Unieuro on the Borsa Italiana and Neoen and SMCP on Euronext Paris;
  • Bond offerings for Air Liquide and Atos SE;
  • US MTN program updates and issuances for Société Générale, BFCM and CFF; 
  • Secured high yield bonds and other offerings of securities of CGG S.A. in the context of its multijurisdictional debt restructuring (safeguard proceeding in France and chapter 11 and chapter 15 proceedings in the US).
