Overview

Dirk advises on mergers and acquisitions, capital markets transactions and corporate law, with a particular focus on public takeovers, both in Germany and internationally. He counsels clients on corporate advisory issues, including integration and re-organisation measures, shareholders’ meetings, complex governance matters and the Market Abuse Regulation.

 

In addition, Dirk has advised a number of financial institutions and corporates in the context of administrative fine proceedings initiated by the German Federal Financial Supervisory Authority (BaFin) in connection with violations of capital markets law.

 

Dirk has previously worked in the firm’s offices in Frankfurt, Düsseldorf, and London.

  • First State Investments: advising on the acquisition of a 45.1% stake in MVV Energie AG and subsequent public offer
  • Hyundai Capital Bank Europe: advising on the public takeover of Sixt Leasing SE
  • ams AG: advising on the (competing) public takeover of OSRAM Licht AG
  • E.ON SE: advising on the public takeover of innogy SE and subsequent merger squeeze-out
  • Prof. Ferdinand Piëch: advising on the sale of his shareholding in Porsche Automobil Holding SE
  • Deutsche Börse AG: advising on its (planned but aborted) merger with the London Stock Exchange Group
  • Funds affiliated with Apollo Global Management: advising on the acquisition of a majority stake in Saint-Gobain Oberland AG
  • ThyssenKrupp: advising on the sale of its steel plant in the U.S.
