New rules for share offers: the public offers and admission to trading regime explained

New rules will govern public offers and admissions to trading in the UK from 19 January 2026.

The new rules will be principally contained in the Public Offers and Admissions to Trading Regulations 2024  and the Prospectus Rules: Admission to Trading on a Regulated Market sourcebook. These replace the EU-derived Prospectus Regulation and associated secondary legislation which were on-shored at the point of Brexit.
