Overview
Adrien joined Linklaters in 2018, after gaining experience in the tax department of a Big Four firm in Luxembourg.
He advises corporate groups on restructuring transactions and international investment funds tax structuring via Luxembourg regulated and non-regulated vehicles, with a particular focus on infrastructure, real estate and debt funds. Adrien also advises on the tax structuring of joint ventures and real estate transactions, including share and asset deals.
He takes part in the Young Tax Leaders committee of the Luxembourg Private Equity Association (LPEA).
Work highlights
- Ares Management Corporation: advising on structuring a new investment platform for Ares Fund VI (€1bn+) acquisitions in Spain and co-investment schemes. A distinctive Luxembourg-Spanish SOCIMI structure was implemented.
- Ardian: advising on the $575m acquisition of Verne from Digital 9 Infrastructure plc. The Linklaters Luxembourg Tax team designed and set up a Luxembourg investment structure and advised on financing and syndication.
- Stoneshield Capital: advising on the €300m transfer of its Spanish real estate portfolio via share and forward purchase agreements, and leases to MiCampus Living. The Luxembourg Tax team devised a customised Luxembourg structure for the acquisition of seed and future core-plus assets.
- CA Indosuez Wealth (Europe) S.A.: advising on the €1.55bn acquisition of a majority stake in Degroof Petercam. The Luxembourg Tax team conducted due diligence on direct tax and VAT aspects and advised on the acquisition structuring as well as a preliminary/subsequent streamlining of the structure.
- A leading real estate investment fund manager: advising on the launch of an open-ended pan-European logistics real estate fund domiciled in Luxembourg, as well as advising on and structuring more than 15 logistic asset acquisitions made by the fund across Europe.
- A Swiss-based global private equity firm: assisting one of their SICAR-like RAIF with performing risk assessments for new assets to be added to its investment pipeline.
- A French global investment firm: advising on the set up of their fourth, fifth and sixth generation of European infrastructure funds, as well as advising on and structuring various acquisitions made by these funds across Europe.
Education and qualifications
Adrien holds a Master degree in Tax Law and in Law and Management from the University of Liège (Belgium).
He is fluent in English and French.
