Overview
Thierry specialises in public M&A, equity capital markets, company law and corporate governance, as well as incentives. He regularly advises a majority of the BEL20 companies. He has worked on many of the largest transactions involving listed companies over the past 25 years.
Thierry has been a member of the expert panel appointed by the Minister of Justice for the drafting of the new Code of Companies and Associations. He is also a member of several working groups of the Belgian Centre for Company Law and a scientific advisor at the University of Liège. He has written and spoken on numerous legal topics. He is a member of Linklaters’ Diversity and Inclusion Committee in Belgium.
Work highlights
Thierry has advised on a wide range of major corporate matters. These include advising:
- Elia Group on its €2.2 billion equity raise, including a €850 million private placement and a €1.35 billion rights issue (2025), as well as on its previous rights issues for a total of €1.03 billion (2022 and 2019)
- Ageas on its EUR 550 million equity raise through an accelerated bookbuild offering (2025).
- Finasucre on the reorganization of its shareholding structure (2025) Nayarit Participations, the main shareholder of D’Ieteren group, on consolidating the family shareholding, including a €2.0 billion buy-out and a recapitalisation of D'Ieteren Group (2024)
- SCR-Sibelco on its €610 million voluntary public offer to buy back 19% of the existing shares issued by SCR-Sibelco (2024)
- Indosuez Wealth Management (Crédit Agricole group) on its acquisition of a controlling stake in Banque Degroof Petercam, followed by a voluntary public takeover bid on the remaining shares, for a total transaction value of €1.55 billion (2024).
Swilux, a subsidiary of Compagnie Nationale à Portefeuille (CNP), on the sale of its stake in M6 Group through an accelerated book-built offering (2022) - AKKA Technologies on its €2.0 billion business combination with the Adecco Group, including a mandatory public takeover bid (2022)
- Greiner on its acquisition of a reference shareholding in Recticel, followed by a non-solicited public takeover bid (2021)
- Cofinimmo on its €180 million equity raise through an accelerated bookbuild offering (2021)
- KBC Securities, BNP Paribas Fortis and Berenberg as joint global coordinators for the €326 million sale by family shareholders of shares in Lotus Bakeries through an accelerated bookbuild offering (2021)
- Many listed companies on corporate governance matters, the hiring and exit of senior executives, as well as remuneration policies and incentive plans, on a regular basis
Professional experience
Thierry has been a member of the expert panel appointed by the Minister of Justice for the drafting of the new Code of Companies and Associations. He is also a member of several Euronext task forces and a scientific advisor at the University of Liège.
Thierry is a sought-after speaker and writes on numerous legal topics, as well as on diversity.
Education and qualifications
Thierry holds a LL.M. from King’s College London (1994-1995) and a Master in Law (Licence en droit) from the Université de Liège (1988-1993).
He works fluently in French and English and has a very good understanding of Dutch.
