Overview

Véronique specialises in debt capital markets matters and regularly works on all kind of bonds issues (hybrid bonds, regulatory capital, sustainability-linked bonds, green, social or sustainability bonds, Euro-PP, debt issuance programmes), liability management deals and equity linked products

Véronique joined Linklaters in 2001, having previously spent two years with Credit Commercial de France (now HSBC) and three years with Société Générale.

In recent years, Véronique has been involved in a very long list of significant matters. She advised notably:

Debt: 

  •  the arrangers, dealers, managers or issuers on establishments, updates of and drawdowns under EMTN Programmes (Action Logement Services, Air Liquide, Arkema, BPCE, Caisse Française de Financement Local (CAFFIL), CADES, Crédit Agricole SA, Compagnie de Financement Foncier (CFF), Compagnie de Saint-Gobain, Crédit Foncier de France, Danone, EssilorLuxottica, HIT, La Banque Postale, La Poste, RTE Réseau de Transport d’Electricité, SFIL, Schneider Electric SE, Worldline);

  • the banks or issuers on the issue of green or social bonds by CADES, Société des grands projets, Société de Financement Local, Air Liquide, The Republic of France, Arkema;
  • the banks or issuers on the issuance of sustainability-linked bonds by Legrand, Nexans, Eramet, Atos and Schneider Electric;
  • the banks on the corporate hybrid bond issues by Danone, Casino, Guichard-Perrachon and Arkema;the banks on regulatory capital of Crédit Agricole SA, Société Générale, Promontoria MMB, La Banque Postale and BPCE; and
  • various banks or issuers on each issue of covered bonds issued by La Banque Postale SFH, HSBC SFH, CAFFIL and by CFF.

  • the banks on the €499,999,897.17 senior unsecured Bonds convertible into new shares and/or exchangeable for existing shares (OCEANE) of Ubisoft Entertainment;
  • the banks on the €599,999,949.60 Bonds convertible into new shares and/or exchangeable for existing shares (OCEANE) of Worldline S.A.;
  • J.P. Morgan Securities plc on the €60,000,000 senior secured guaranteed Bonds due 2019 exchangeable into SMCP shares by European TopSoho Sàrl;
  • the banks on the €250,000,000 Bonds due 2022 convertible into new shares and/or exchangeable for existing shares (OCEANE) of Vallourec;
  • Rallye on its €200,000,000 non-dilutive cash-settled Bonds due 2022 exchangeable into Casino shares;
  • the banks on the €99,999,969.24 net share settled undated senior unsecured Bonds convertible into new shares (ORDINAN) of Eramet;
  • ORPAR on its €170,000,000 zero coupon Bonds due 2019 exchangeable for existing ordinary shares of Rémy Cointreau;
  • the banks on the €180,000,000 OCEANE issued by Nexity;
  • Rémy Cointreau on its Euro 274,999,943.70 0.125% Bonds due 2026 convertible into new shares and/or exchangeable for existing Shares (OCEANE); and
