Overview

Based in the firm’s London office, Mike is a U.S. partner with over 22 years of experience advising on equity and debt capital markets, cross-border M&A and SEC compliance. He has advised on transactions for some of the world’s largest companies, including transformational IPOs on the London, New York, Amsterdam, Dublin, Frankfurt, Johannesburg, Stockholm, Brussels and Ljubljana stock exchanges, as well as secondary offerings, rights issues and debt capital markets transactions.

Mike is the lead SEC counsel to some of the largest foreign companies listed in the U.S. He is a trustee of the mental health charity Validity.

Work highlights

Mike’s experience includes advising:

  • Wise: advising on the establishment of their dual class share structure and Direct Listing on the London Stock Exchange (the first of its kind).
  • Vodafone: advising on the establishment, carve-out and €2.3 billion IPO and Frankfurt Stock Exchange listing of Vantage Towers.
  • Alphawave: advising on their £3.1 billion IPO and listing on the London Stock Exchange (the largest listing on London of any North American company).
  • The financial advisers: advising on the €130bn spin-off and listing by Naspers of its internet business, Prosus, on Euronext Amsterdam.
  • Allied Irish Banks: advising on their €3.4bn IPO on the London and Dublin Stock Exchanges (the largest European IPO of 2017), and on the establishment of their US$10bn MTN program.
  • Com Hem: advising on their US$3.2bn SEC registered merger with Tele2.
  • Brookfield: advising on their £2.6bn acquisition of Canary Wharf.
  • Vodafone: advising on all of their SEC registered US public bond offerings.
  • ArcelorMittal: advising on the €2.3bn spin-off and listing of its stainless steel business on the Amsterdam, Paris and Luxembourg Stock Exchanges.
  • RBS: advising on its €71bn acquisition of ABN AMRO, its £12bn rights offer and its subsequent recapitalisation by the UK Government.

Professional experience

Mike is a trustee of “Validity”, an international human rights organisation supporting people with mental health issues.

Education and qualifications

Mike completed his B.A. at Dartmouth College and J.D. at Columbia Law School.
