Overview

Burkhard advises commercial banks, investment banks and corporates on their structured finance transactions, including securitisations (such as synthetic and true sale securitisations and Collateralised Debt Obligations (CDO) transactions), high yield and structured covered bonds and asset-based finance and other secured financings, as well as on portfolio sales.

Burkhard also advises on central counterparty (CCP) transactions, involving clearing and settlement and new clearing models, as well as on financial regulation and stock exchange law.

Work highlights

Burkhard has led on a wide range of capital markets transactions. Highlights include advising:

  • NORD/LB on the establishment of its Guaranteed Medium Term Note (GMTN) programme
  • Commerzbank on the establishment of its SME Structured Covered Bond programme, the first structured covered bond programme in Germany with a Special Purpose Vehicle (SPV)-based asset ring-fencing structure using the refinancing register
  • HSH Nordbank on establishing a platform for asset-based finance transactions using the German refinancing register
  • ALBA on its German law high yield bond issuance (including features of the German Bonds Act (Schuldverschreibungsgesetz))
  • Deutsche Börse on numerous legal matters relating to the clearing of transactions through its clearing house and central counterparty, Eurex Clearing
  • Two German mortgage banks (Pfandbriefbanks) on the bundling of real estate loans from savings banks for use as cover pool assets based on registrations in the German refinancing register
  • Republic of Austria on the granting of €10bn guarantee on bonds issued as part of the HETA debt restructuring

 

Professional experience

Burkhard regularly speaks at events organised by True Sale International (TSI), a body created by German banks to promote the use of structured finance in Germany. He is also a member of the German-American Lawyers Association and the Banking Law Association (Bankrechtliche Vereinigung).

Education and qualifications

Burkhard studied law at the Universities of Mainz and Konstanz and holds an LL.M from the University of Michigan.
