Tiffany has extensive experience advising leading corporates, financial institutions and investment funds on cross-border public and private M&A transactions (including pre-IPO and private equity investments), equity capital raisings (including initial public and secondary share offerings), group restructurings, general corporate law and Hong Kong Listing Rules compliance matters. 

Tiffany is recognised as the “Corporate Rising Star” by Euromoney Women in Business Law Awards Asia 2022, which celebrates female lawyers for their excellence in the provision of leadership, technical legal knowledge as well as advocacy and influence.

M&A

  • A consortium comprising the founders of Razer Inc. and CVC Capital Partners on the US$1.38bn management buyout and take private of Razer, the world leader in high-performance gaming hardware, software and systems. 
  • The Bank of East Asia Limited on the HK$5.07bn sale of its life insurance unit, BEA Life, to AIA and the formation of a 15-year exclusive bancassurance partnership with AIA for Hong Kong SAR and mainland China, and the HK$2.16bn sale of its general insurance unit, Blue Cross, and interest in a joint venture carrying on healthcare services provider business to AIA and the formation of a 15-year exclusive bancassurance partnership with Blue Cross for Hong Kong.
  • Xiamen International Bank Co Ltd on the US$1bn acquisition of 64.31% stake in Chiyu Bank.

Equity

  • Pacific Century Group and FWD Group Holdings Limited on FWD’s proposed listing on the Hong Kong Stock Exchange, fundraising rounds from investors including Athene Life, Siam Commercial Bank, Canada Pension Plan Investment Board, Swiss Re, ORIX, Huatai and the LKS Foundation, strategic corporate restructurings and regulatory compliance.
  • On the HK$4.17bn global offering and listing of HUTCHMED (China) Limited on the Hong Kong Stock Exchange.
  • On the follow-on equity offering of up to US$2.89bn by Hong Kong-listed Prudential plc. It is the first time in the Hong Kong market where a listed company went through the full process of a follow-on public offer with a prospectus.

Other key strategic transactions

  • On the US$100bn merger and reorganisation of Cheung Kong Holdings and Hutchison Whampoa, and the concurrent spin-off and listing of their merged property business.
  • On the corporate restructuring of Deloitte Touche Tohmatsu’s businesses in the Asia Pacific region.

Education and qualifications

Tiffany studied business and law at The University of Hong Kong.

She is fluent in English, Mandarin and Cantonese.
