Tracy leads the Linklaters’ Corporate team in Tokyo and is global co-head of Linklaters’ insurance practice.  Tracy has been based in Japan for over 20 years. She is highly regarded as one of Japan’s leading international corporate M&A and insurance lawyers.

She advises international and Japanese clients, including major Japanese trading houses, corporates and international financial sponsors across many sectors, including infrastructure, energy, insurance, healthcare, consumer and retail, and technology.

Tracy is ranked by Chambers and Legal 500 as a leading M&A and insurance practitioner in Japan. She is qualified in England & Wales and speaks Japanese.

Tracy has advised on many market-leading transactions. These include:

M&A

  • Dai-ichi Life on its acquisition of a c 15% stake in M&G plc and a US$8bn strategic partnership with M&G plc.
  • Meiji Yasuda on its US$2.3bn acquisition of L&G plc’s US protection business, the creation of a long-term strategic partnership for US pension risk transfer business and its acquisition of a c. 5% of L&G plc.
  • Morgan Stanley on its Alliance 2.0 with MUFJ, a complex restructuring of its joint venture in relation to equities in Japan and a new FX trading collaboration.
  • Actis on the establishment of its US$500m renewable energy platform in Japan, Nozomi Energy Co.,Ltd, and subsequent acquisition of various operational and in development renewable energy projects across a portfolio of solar as well as onshore and offshore wind projects.
  • Stonepeak Infrastructure Partners on its investment in TerraWind Renewables, an onshore wind energy platform, in partnership with Shizen Energy Inc.
  • A listed Japanese trading house on numerous M&A and joint venture transactions across Asia-Pacific, Europe, the Americas, Africa and the Middle East for nearly 20 years in renewable energy, carbon capture and trading, infrastructure, including digital infrastructure, food & retail, manufacturing and natural resources.
  • Another listed Japanese trading house on numerous M&A and joint venture transactions across Asia-Pacific, Europe and the Middle East for over 10 years in renewable energy, infrastructure, including digital infrastructure, healthcare, automotive, natural resources and venture capital.

Insurance

  • On various M&A and portfolio transfer transactions across Japan, Argentina, Australia, Brazil, Chile, Colombia, Hong Kong, Korea, Mexico, Singapore and New Zealand.
  • On various block and flow reinsurance transactions in Japan and Hong Kong, including retrocession and FX/index reinsurance, involving the following insurers and reinsurers:
    • Insurers: group entities of Dai-ichi Life, FWD, HSBC, Japan Post Insurance, Manulife, Nippon Life, Tokio Marine and Zurich.
    • Reinsurers: group entities of Athene, Resolution Re, RGA and Swiss Re.
  • On various bancassurance and bancatakaful transactions in Asia.

Education and qualifications

Tracy studied law at the University of Melbourne, Australia.
