Titus has experience representing clients on a variety of cross-border corporate transactions and securities matters, including public and private mergers and acquisitions, internal reorganizations, entity formation and corporate governance. He has worked across different sectors including technology, energy and infrastructure, automotive, banking, consumer, healthcare and private equity.

Work highlights
  • Moolec Science Limited: advising this LatAm science-based food ingredient company on its US$376m business combination agreement with LightJump Acquisition Corp., a SPAC listed on the Nasdaq.
  • Proximus Group: advising on its business combination of its U.S. subsidiary, Torino Holdings Corporation with North Atlantic Acquisition Corp. resulting in a newly formed holding company of the combined entity, TeleSign, Inc. The business combination valued TeleSign Corporation, the operational subsidiary of Torino Holdings Corporation at an implied US$1.3bn enterprise value.
  • PlantPlus Foods, LLC, Archers-Daniels-Midland Company and Marfrig Global Foods S.A.:

    - advising on a joint venture formed in respect of its entry into a Plan of Arrangement to acquire Sol Cuisine Ltd. and delisting it from the Toronto Stock Exchange.

    - advising on a joint venture formed for the acquisition of DEW-Drink Eat Well, a Kansas limited liability company engaged in the development, production and sale of vegetable protein-based frozen vegetable burgers and sausages.

Education and qualifications

Titus received his A.B. from Dartmouth College where he majored in Engineering Sciences, with a minor in Government. He holds a Juris Doctorate from the New York University School of Law, where he was also a Staff Editor of the Journal of International Law and Politics.
