Overview

Hanwen has substantial experience advising on innovative debt and equity linked capital market transactions in the PRC and across Asia. He has worked in Hong Kong and Singapore and advises financial institutions and corporates on a broad range of capital market instruments including bonds, corporate hybrid instruments, bank regulatory capital and equity-linked products. He also advises on bond restructurings, tender offers, exchange offers and consent solicitations.

Work highlights

Hanwen has advised on many leading capital market transactions. These include advising:

  • the underwriters on the perpetual securities offering by Shandong Gold, which was the first perpetual securities transaction to be completed since the promulgation of new guidelines by the Ministry of Finance of the PRC in relation to the equity treatment of perpetual securities;
  • the sole manager on the first ever issuance of offshore corporate bonds in the China (Shanghai) Pilot Free Trade Zone by Nanjing Southeast State-owned Assets Investment Group Co., Ltd;
  • Bank of Communications on its Tier 2 Capital instrument issue transaction, which was the first offshore issuance of Tier 2 capital instruments by a PRC commercial bank in accordance with the newly introduced administrative measures for capital for commercial banks of the PRC promulgated by the China Banking Regulatory Commission;
  • the underwriting consortium on a dual structure bond transaction for Guotai Junan, a major financial services provider in the PRC;
  • the lead managers on Chongqing Nan’An on its US$1bn bond issue, the largest ever bond offering by a local government financing vehicle at the time

Hanwen has also advised on numerous senior bond offerings by large scale PRC enterprises including, amongst others, Aluminium Corporation of China, Beijing Automotive Group, CDB Leasing, COFCO, China Great Wall Asset Management Corporation, Ping An Real Estate and China State Construction Engineering Corporation.

Professional experience

Hanwen is a member of the ICMA Asia Legal & Documentation Forum, which gathers the heads and senior members of the legal transaction management teams of ICMA member banks active in lead-managing syndicated bond issues in Asia.

Education and qualifications

Hanwen studied law at the National University of Singapore, where he was placed on the overall Dean’s List.
