Overview

Kosuke has extensive experience in structured equity and debt products and derivatives, capital markets and corporate finance matters. He advises domestic and international banks on margin loans, collar finance, repackaging transactions, global offering of securities, IPOs, samurai bonds issues, Uridashi bond offerings, Tokyo PRO-BOND issues, regulatory capital securities issues, overseas listings of Japanese companies and domestic listings of non-Japanese entities. He also provides advice in relation to securities laws and regulations.

Work highlights

  • the lenders to a syndicate of 16 financial institutions (including international investment banks and securities companies) as Original Lenders in connection with a JPY500bn margin loan to Hinode 1 GK (a wholly owned subsidiary of SoftBank Group Corp).
  • the guarantor on Arab Republic of Egypt’s JPY 60 billion bonds guaranteed by Sumitomo Mitsui Banking Corporation protected by guarantee obligation insurance by Nippon Export and Investment Insurance. This was the first JPY bond issuance in Japan by Arab Republic of Egypt as well as a country in the Middle East and was the first bond issuance deal with respect of which guarantee obligation is protected by NEXI insurance. 
  • the dealers on the issue of JPY30bn Convertible Bonds and concurrent repurchase of existing convertible bonds by Sosei Group Corporation. This was a rare transaction in Japan that involved a public repurchase of the existing securities on an overnight execution basis.
  • the lead managers on Initial Public Offerings in Japan by Japanese companies in, a part of shares of which were sold to overseas investors.
  • Takeda Pharmaceutical Company on its £46bn recommended offer for Shire plc in 2019 (the largest ever outbound M&A deal by a Japanese company).
  • the arrangers on the €20bn Sumitomo Mitsui Banking Corporation Covered Bond Programme in 2018. This was the first covered bond programme and issuance for Japan and was a first for the Japanese market.

Education and qualifications

Kosuke graduated from Osaka University in 2005 and qualified in Japan in 2007. He was seconded to our HK office for 10 months, returning to Tokyo in January 2016. He was subsequently seconded to the legal team of a global investment bank, returning to the Tokyo office in October 2018.
