Overview

Jeff has represented underwriters and issuers in initial public offerings, follow-on offerings, high-yield debt offerings, convertible debt offerings and other debt and equity capital markets transactions. In addition, he has advised a number of public companies on ongoing reporting and disclosure obligations.

Work highlights

Jeff has advised on some of the market’s most complex deals, including representing: 

  • Azure Power: advising HSBC on the SEC-registered rights offering by Azure Power, a NYSE-listed renewable power producer in India.
  • Oppenheimer, Citigroup and other global investment banks on the NYSE IPO of Corporación América
  • Abengoa Yield (now Atlantica Yield) on its Nasdaq IPO, follow-on offerings of equity and debt and ongoing disclosure and compliance advice
  • Interxion Holding on its Nasdaq IPO and high-yield offerings
  • National Grid subsidiaries on their U.S. debt offerings
  • Hungary on its SEC-registered notes offerings
  • the Republic of the Philippines on its SEC-registered notes offerings
  • various underwriters on notes offerings by Banco Santander, Rabobank the Republic of South Africa and National Australia Bank

Jeff is recognized to be an exceptional capital markets lawyer. He was recently recognized in Legal 500 U.S. 2017 and Legal 500 Latin America 2016 for representing high-profile clients in a variety of complex matters. Jeff joined the Linklaters team in 2005 and was elected Partner in 2007. Jeff served as a Law Clerk to Judge Richard A. Posner in the U.S. Court of Appeals for the Seventh Circuit.

Education and qualifications

Jeff holds a Juris Doctor from Yale Law School. He obtained his undergraduate degree, with honors, from the University of Chicago. 

Jeff is fluent in French and German.
