Overview

Min is a partner in our capital markets group. Min has led numerous landmark capital market transactions, with a particular focus on Greater China.

Min advises financial institutions and corporates on the full spectrum of debt and equity-linked products, covering bonds, medium term note programmes, regulatory capital, corporate hybrid instruments, convertible bonds and exchangeable bonds. Min is the leading lawyer on regulatory capital and acts for a number of large PRC financial institutions on their innovative offerings.

Min also advises clients on complex liability management transactions such as tender offers, exchange offers, consent solicitations and other restructuring transactions.

Min has worked in London for two years (from 2010 to 2012).

Work highlights
  • Greenland consent solicitation in respect of 9 series of offshore bonds totaling US$3.2bn in principal amount
  • Guangzhou R&F Properties consent solicitation and restructuring support proposals in respect of 10 series of offshore bonds totaling US$4.9bn in principal amount
  • Bank of Communications and ICBC Macau bonds issuances, the first bonds cleared through the newly established Macau clearing system (MCSD)
  • ICBC US$2.9bn additional tier 1 preference shares, the first offshore issuance adopting the new Guiding Opinions on Capital Instrument Innovation for Commercial Banks
  • Huishang Bank’s additional tier 1 preference shares, the first regulatory capital instrument issued by a PRC city commercial bank
  • Standard Chartered Bank special drawings rights panda bonds, the first panda bonds worldwide to utilise Special Drawing Rights
  • China Life US$1.28bn core tier 2 capital securities, the first C-ROSS compliant capital instruments issued by a PRC insurance company

Education and qualifications

Min obtained an LLB degree from The London School of Economics and Political Science. Min also studied law in Shanghai Institute of Foreign Trade.

Min is a qualified solicitor in England and Wales and in Hong Kong.
