Linkklaters has advised the joint global coordinators and managers on Vedanta Resources Finance II plc’s US$400m tap issuance of senior secured bonds, guaranteed by Vedanta Resources Limited and certain of its subsidiaries. The issuance comprised a further issuance of US$125m 7.000% bonds due 2032, US$50m 7.375% bonds due 2034 and US$225m 7.750% bonds due 2037. Each tranche issued in connection with the tap will be consolidated with, and form a single series with, the corresponding tranche issued by Vedanta Resources Finance II plc in July of 2026.
Vedanta Resources Limited is the holding company of the Vedanta Group, a globally diversified natural resources group.
The bonds were issued pursuant to Rule 144A and Regulation S under the US Securities Act and are listed on the Singapore Exchange Securities Trading Limited. Proceeds from the issuance of the new bonds will be used by Vedanta to refinance some of its outstanding bonds.
The Linklaters team was led by partner and Head of India Practice Amit Singh and capital markets partner Michele Discepola, with support from Grace Yumul-Villanueva, Sean Su, Geeta Vasnani and Jandy Yuen.
With more than 50 years of on-the-ground experience in Asia, Linklaters has an established track record as the leading Indian capital markets practice, providing clients with practical expertise and commercial insights to capitalise on opportunities. The transaction builds on the firm’s continued work with the Vedanta Group across debt and equity capital markets, including its advice on Vedanta’s US$1.75bn multi-tranche bond issuance, concurrent tender offers and consent solicitations in July of 2026. Linklaters’ market-leading team ranked first in both the league tables on issuer’s legal counsel and managers’ legal counsel in Debtwire’s Asia Pacific (ex-Japan) High Yield Bonds Legal Advisors’ Rankings 2025.
